A spin-off company can, for example, be created when research and development yields a new product that does not fit into the company’s current portfolio, or when a company wants to explore a new venture related to its current activities. It can also be formed from a demerger, in which acquired companies or parts of a business are separated in order to create a more streamlined parent organization.
